Position Overview

We are looking for an Attorney possessing complex construction transactional experience to serve as Assistant General Counsel located in either Kansas City, Denver, Houston, Omaha, or Vancouver, Washington.  In this role, you will negotiate large, complex construction contracts with owners, partners, and critical vendors/subcontractors.  Contract models could include EPC, design-build, progressive design-build, integrated project delivery/alliance modeling, joint venture agreements, memoranda of understanding, teaming agreements, consortium agreements, and material contracts.  An ability to work autonomously, think analytically, practically, and quickly are key qualities to achieve success in this role.  Experience negotiating complex construction transactions and collaboration with business partners is a must.   

This position will require travel, as needed, to support the needs of the business (approximately 15% - 20% of the time).  We are seeking a proactive team member who thrives on identifying opportunities for growth and efficiency.  As part of the legal department, this person will be encouraged to propose innovative solutions and advocate for positive changes that enhance the department’s processes and outcomes.  In addition, the ideal candidate should be at ease with public speaking, as our attorneys frequently deliver training sessions to large groups within the organization.

Location

This position can be based in Kansas City, Denver, Houston, Omaha, or Vancouver, Washington. This is not a remote work option.  We offer relocation assistance if outside of the area.  

Responsibilities

  • Review, negotiate, draft, and analyze various types of Company contracts.
  • Collaborate with internal stakeholders to propose and finalize deal structures that support the business needs while protecting the Company’s preferred risk profile.
  • Provide legal advice on the Company’s preferred positions, lessons-learned,  trends in the marketplace, etc.
  • Assist other members of the Legal Department with other legal needs of the Company, as necessary.
  • Direct and coordinate work with outside counsel, as necessary.
  • Draft joint venture agreements, consortiums, MOU’s, term sheets, and other service agreements and associated transactional documents.
  • Develop and deliver training to the larger organization on a variety of legal issues.
     

Qualifications

  • 7+ years of construction transactional experience with a law firm and/or in-house legal department.
  • Experience structuring, drafting, and negotiating a wide variety of commercial contracts.
  • Effective organizational skills and ability to prioritize and manage multiple time-sensitive projects simultaneously.
  • Pragmatic judgment, particularly in determining the significance of legal matters and effectively measuring and balancing legal and business risks.
  • Strong work ethic and willingness to work in a fast-paced environment assuming responsibility for assignments and meeting project deadlines.
  • Excellent written and oral communications skills, with ability to synthesize complex legal issues to essential elements for internal clients.
  • Ability to handle multiple assignments simultaneously, with effective resolution of conflicting priorities.
  • J.D. and active attorney’s license.
  • Excellent communication skills with the ability to clearly and concisely express legal issues and analysis as it pertains to the business to executive management and colleagues.
  • Self-driven & resourceful to achieve goals independently as well as in groups.  Must have excellent negotiation skills, presentation, and meeting facilitation skills.  
  • Flexibility to adjust and thrive in an environment with changing requirements, schedules, and priorities.
