Position Overview

We are seeking a highly talented individual for the position of Assistant General Counsel in our Legal Department.  The complexity of the work we have in this group is unique, working with some of the largest projects being built in North America today.  This is an opportunity to participate in prime contract negotiations for a variety of complex commercial structures including EPC, D/B, teaming agreements, joint ventures, and consortium agreements for any of our market areas such as power, oil, gas, and chemical, industrial, water/wastewater, and infrastructure. Experience in any or all of these market areas is highly desired.  We are looking for a skilled negotiator, one who can successfully mitigate legal and commercial risk through strategic solutions with clients and internal stakeholders.

This position is based in our Lone Tree Colorado office and requires occasional travel (up to 20%) to project sites/office or other Kiewit offices.  This is not a remote work option.


Perform initial risk assessment and review of RFPs and prime contracts (including EPC and design-build contracts), and related documents received from clients and partners;  
Draft, and negotiate joint venture agreements, consortiums, MOU’s, term sheets, Early Contractor Involvement (ECI) agreements, Front-End Engineering & Design (FEED) and other service agreements and ancillary documents;
Mitigate legal & commercial risk posed to the Company through strategic redlining/drafting and including “checks and balances” of additional internal review and involvement of other internal stakeholders;
Ensure the Company’s contracting protocols, commercial standards and guidelines are followed;
Coordinate with the internal stakeholders and subject matter experts relative to the commercial/legal aspects and risks of projects assigned;
Responsible for negotiations of prime contracts, joint ventures, MOUs, term sheets and related agreements;
Coordinate negotiations on major subcontracts with the business lead and internal supply network lead;
Develop appropriate reporting tools to aid in risk analysis of various projects based upon the client’s requested terms and the Company’s proposed responses;
Coordinate with the internal supply network lead to ensure the prime contract terms flow down to the respective subcontracts, material supply contracts, etc. as applicable; and
Provide and/or coordinate training for Kiewit employees of select commercial and legal topics.


J.D. or LL.B Degree from an accredited law school is required
Admission to a US State Bar Association required  
10+ years of demonstrated legal experience with a major contractor, engineer, law firm, or internal legal department in the area of construction law with experience negotiating and reviewing civil and common law contracts;  Experience with Design/Build, EPC projects is required
Ability to travel up to 20% as required to serve various internal profit centers within the Company and to assist in negotiations with clients and partners.  Located near Houston Texas or Lone Tree Colorado
Excellent communication skills with the ability to clearly and concisely express legal issues and analysis as it pertains to the business to executive management and colleagues
Self-driven & resourceful to achieve goals independently as well as in groups.  Excellent negotiation skills with complex commercial deals ($1B or up) and experience with prime contract negotiations
Flexibility to adjust and thrive in an environment with changing requirements, schedules, and priorities
Excellent writing, presentation, and meeting facilitation skills.

Base Compensation: $215,185 - $322,777 
(Actual compensation is subject to variation due to such factors as education, experience, skillset, and/or location)
